The Audit Committee is required to monitor and pre-approve all audit and non-audit services performed by the external auditor (subject to the de minimus exception set forth in Section 10A of the Securities Exchange Act of 1934). Pre-approval is based upon the policy regarding audit and non-audit services as adopted by the Audit Committee.
