ASML's Legal & Compliance Department is responsible for defining and implementing ASML’s worldwide legal and compliance strategy and bears the responsibility for all ASML entities worldwide to comply with international laws and regulations, in order to minimize legal risks and to maximize legal and commercial opportunities. The Legal & Compliance Department consists of a team of highly empowered, business oriented lawyers, compliance officers, privacy professionals, paralegals and assistants, working across the globe. ASML’s Legal & Compliance Department consists of the following groups: Corporate, Legal Business and Centers of Excellence, Corporate Governance & Secretariat, Compliance, Privacy Office, Legal Operations & Strategy Execution and Regional groups in Asia and the U.S.
We are looking for a Legal Counsel to strengthen the Corporate Team.
Role and Responsibilities
Together with the other (Senior) Legal Counsels you will be involved in a wide area of corporate matters in an international environment. This includes support and advise on (i) various corporate topics and projects such as M&A transactions, corporate restructurings and financial market transactions, (ii) legal entity management, (iii) the stock administration of ASML Holding, incl. insider trading compliance, (iii) intercompany contracts, resolutions and powers of attorneys and (iv) the Annual Report process. The role combines individual ownership with shared team responsibility and not only involves working with colleagues from the Legal & Compliance Department, but also with other stakeholders such as Finance, Tax, Accounting and Treasury. You will be a business partner and act as an intermediate between internal and external stakeholders. You will be based in Veldhoven (NL) and report to the Head of Legal - Corporate.
Education and Experience
- Masters in Dutch Law
- 3-7 years of relevant experience as a lawyer in a challenging business environment within a law firm and/or as in-house legal counsel
- Experience in the field of corporate law, contract law, financial law and/or mergers and acquisitions
